Membership

The Members of AAMI shall be:

  • The Members as per Annexure A hereto;
  • Such other persons who are elected as members by the Management Committee. It is expressly provided that full, absolute and unquestionable power is vested in the Management Committee to elect or refuse to elect any person as a member without being obliged to divulge any reason therefor whatsoever; and
  • Subject to Regulation 14 (b) above, membership of AAMI will be open to any alcohol beverage producer and importer who is duly incorporated under the laws of Ghana and licensed as an alcohol beverage producer and importer, provided however that membership of AAMI shall also be open to any individual, partnership, firm or company who, in the opinion of the Management Committee, is engaged in the alcohol beverage industry.

Immediately upon the election of a member, notice thereof shall be given to him, and he shall be furnished with a copy of the Regulations and the Code(s) and a request to remit to the Chairman within ten (10) days from the date of such request an undertaking to be bound by the Code(s) of AAMI. Upon receipt of this undertaking he shall become a member of AAMI and be bound by the Regulations and the Code(s).

If such undertaking is not furnished within ten (10) days from the date of such request as aforesaid, the election of such member shall be void, unless he shall satisfy the Management Committee that the delay in furnishing such undertaking was due to absence or other sufficient cause.

RESIGNATION OF MEMBERS

Members shall be entitled to resign at any time by giving six (6) months’ written notice to the Chairman, but resignation shall not serve to release such member from liability for subscriptions or any amount, undertaken to be paid to AAMI to the date of such resignation. Any amount so due by such member shall be a debt due to AAMI and may be recovered as such.

When a member ceases to be a member for any reason whatsoever, he shall not be entitled to, nor shall he have any claim for a refund of the subscription of any other moneys paid by him, or any portion thereof, unless the Management Committee may decide otherwise.

MEMBERS’ CONDUCT

If any member behaves in a manner which the Management Committee considers may be prejudicial to the interests of AAMI or in conflict with its objects as herein set out, or any Codes adopted by AAMI or should the Management Committee consider that it is no longer in the interests of AAMI to allow any person to remain a member, the Management Committee shall have the following powers:

  • To call upon such member for a written explanation of his behaviour;
  • To suspend such member for such period as it may deem desirable;
  • To call upon such member to resign and if he fails to do so, to expel him; and/or
  • To expel such member.

The decision of the Management Committee shall be final unless the member shall lodge an appeal with the Chairman within seven (7) days of being advised of the decision of the Management Committee. Should an appeal be lodged as aforementioned, it shall be considered and decided upon at a General Meeting.
The member whose conduct is in question or who is affected by such decision of the Management Committee shall be entitled to be present and to offer such explanation as he may think fit, and he shall be entitled to be represented legally. He shall have the right to vote on any such matter.

For the avoidance of doubt any member who fails to make payment of any annual subscription determined in terms of these Regulations within the period prescribed therefor shall be deemed to have acted in a manner prejudicial to the interests of AAMI.
